Builder Agreement
The terms between you, as a builder, and Splitbag Technology for listing products and paying contributor commissions.

1. Parties and scope
This agreement is between you ("Builder") and Splitbag Technology ("Splitbag"). It applies to every product you list and every offer you publish, together with the Terms of Service, the Acceptable Use Policy and the engagement terms sheet generated from each offer. You accept it in the app, and we record the time and IP address.
2. Your Stripe account
You must connect your own Stripe account to Splitbag, and it must have charges enabled. You authorize Splitbag to read charges, refunds, disputes, invoices and customer events from that account, and to receive related webhooks, so that we can verify revenue and compute commissions. Stripe's terms govern your Stripe account. Splitbag does not control it.
3. Listings and review
You are responsible for the accuracy of your listing: name, description, logo, city, screenshots, category, stage and revenue disclosure. A listing goes live only after Splitbag review, and we may decline, pause or remove a listing that does not meet our policies. Pro workspaces get priority review, not guaranteed approval.
4. Offers and engagements
An offer sets one slice rule with a percentage, term, optional cap, seats and optional exit kicker. When you accept an applicant, Splitbag generates a terms sheet and an engagement. You will honor the terms of every offer you publish and every engagement you accept. You may close an offer for new applicants, but existing engagements run for their term. Contributor interests are non-transferable and tied to the contributor's work. Offers are for work, never for money in exchange for a share of your business.
5. Attribution and accurate data
You will install the integration tier you choose (payment link wrap, promo code or snippet) and pass attribution data as instructed. You will not remove, alter or work around attribution, discourage customers from using attributed links or codes, or move sales outside the connected Stripe account to avoid commissions. You will record product sales for exit kickers truthfully and promptly. You can review the attribution decision for each charge and dispute it through the deal queue.
6. Commissions, holds and refunds
Commissions are computed on the net amount you receive for attributed charges. Each commission is held for your product's refund window, which you set per product and which must match the refund window you actually honor. Refunds and disputes reverse commissions proportionally on the next statement for as long as the charge can be disputed. You will honor your stated refund window.
7. Statements and debits
Statements close monthly on the 1st at 00:00 UTC, and a final statement closes within 7 days after an engagement ends. On close, Splitbag debits your payment method, by US bank account (ACH) by default or by card as a fallback, for the commissions due plus any pass-through costs. You authorize those debits. Payments to Splitbag discharge your debt to the contributor for the amount paid, because Splitbag acts as the contributor's agent to receive commissions. Splitbag pays contributors only from settled funds, holds nothing beyond settlement and earns no float or interest.
If a debit fails, we notify you and retry on the schedule shown in the product settings. After repeated failures we may pause new attributions and engagements until the balance is resolved. A late ACH failure after contributors have been paid creates a negative balance that we may recover by re-debiting you. Unpaid commissions remain your debt.
8. Pass-through costs
Stripe's processing, ACH and payout costs (for example, ACH debits at 0.8% capped at $5 under Stripe's published pricing) pass through at cost and appear as their own line on your statement. Splitbag adds no markup.
9. Plans and fees
The core Service is free for builders, with no fee on commissions. Pro is $49 per month per builder workspace and gates only these features: featured placement and discovery boost, advanced reports and scheduled exports, team seats beyond the owner, API keys and outbound webhooks, custom-branded product pages and custom domains, priority listing review, and bulk offer tools. Downgrading keeps your data and hides gated features.
Fee reservation. Splitbag may introduce a percentage fee on commissions for engagements created after a notice date. We will give notice before that date, and engagements created earlier keep their existing terms for their term.
10. Ranking integrity
Organic ranking uses Stripe-verified revenue only, and hidden revenue ranks last. Featured placement is a labeled slot and never reorders organic results. You will not misstate revenue or your disclosure level.
11. Non-circumvention
For engagements that began on Splitbag, you will not move the contributor relationship off Splitbag to avoid commissions for the non-circumvention period stated in the engagement terms sheet.
12. Contributors and promotion
Contributors have no authority to negotiate price or bind you. You are responsible for your product, its pricing, its customers, support, taxes and compliance. Contributors must disclose their commission relationship under the FTC Endorsement Guides, and you will not instruct or encourage them to omit it. You can rotate a leaked code at any time.
13. Prohibited conduct
Fake sales, self-dealing through controlled accounts, misrepresentation, and any conduct barred by the Acceptable Use Policy may lead to rejected attributions, holds, suspension and delisting. You remain liable for commissions on legitimate attributed revenue.
14. Term and ending
You may pause or archive a product at any time. Ending the agreement does not cancel commissions already earned or owed or engagements in progress, which end under their own terms. Splitbag may suspend or terminate for violations, legal requirements or non-payment.
15. Liability and disputes
The limits in the Terms of Service apply. Governing law and dispute resolution follow the Terms of Service and are to be finalized before launch. Contact us first at [email protected].
