The rules for using Splitbag, a revenue-share marketplace for AI-built products operated by Splitbag Technology.

1. Who we are and what these terms cover

Splitbag (splitbag.com) is operated by Splitbag Technology ("Splitbag", "we", "us"). Splitbag is a marketplace where builders list products and offer contributors a share of the revenue that the contributor's own work brings in. These Terms govern your use of the website, apps, tracked links, APIs and related services (the "Service"). By creating an account or using the Service you agree to these Terms, the Acceptable Use Policy, the Privacy Policy, and, depending on your role, the Contributor Agreement or the Builder Agreement.

This is a Version 1 draft that takes effect on launch. If anything in a role agreement conflicts with these Terms for that role, the role agreement controls.

2. Eligibility

You must be at least 18 years old and able to form a binding contract. If you use the Service for an organization, you confirm you have authority to bind it. At launch, contributors must be residents of the United States. Builders may be located anywhere Stripe supports. We may decline or end access where the law or our policies require it.

3. Accounts

You provide accurate information and keep it current. You are responsible for activity under your account and for keeping your credentials secure. Tell us promptly at [email protected] if you suspect unauthorized access. One person or organization may hold both a builder role and a contributor role under one account.

4. What Splitbag does and does not do

Splitbag provides listing, matching, agreements, attribution, statements, debit and payout tooling. We are not a party to the commercial relationship between a builder and a contributor beyond what the role agreements state. We do not guarantee that any product will earn revenue, that any offer will be accepted, or that any contributor will earn anything.

No investment, no equity. Splitbag does not sell shares, equity or investment interests, and does not accept money in exchange for a share of a product. A contributor's interest under an offer is a right to commission on revenue attributed to that contributor's own work. It is not transferable and ends with the work as described in the Contributor Agreement. Nothing on the Service is a promise or projection of income, returns or profit.

5. Money flow

Builders keep their own Stripe accounts. Splitbag reads the builder's charge data through Stripe, computes commissions according to the accepted offer, debits the builder, and pays contributors through Stripe Express. Splitbag acts as the agent of the payee: each contributor appoints Splitbag to receive commissions on the contributor's behalf, and a builder's payment to Splitbag discharges the builder's debt to that contributor for the amount paid. Splitbag holds funds only as needed to settle a debit and a payout, and does not earn interest or other income on those funds.

Stripe's own processing costs, including ACH debit fees (currently 0.8% capped at $5 per Stripe's published pricing) and payout costs, pass through at cost and appear as their own line on the statement. We do not add to them.

6. Fees and plans

The core Service is free for both builders and contributors, and Splitbag charges no fee on commissions. Contributors never pay to use Splitbag. Pro is an optional paid plan for builder workspaces, currently $49 per month, and gates only the features listed on the pricing page, such as featured placement, advanced reports, team seats, API and webhooks, branded pages and custom domains, priority listing review and bulk offer tools.

Fee reservation. Splitbag may introduce a percentage fee on commissions for engagements created after a notice date. We will give notice on this page and by email to account owners before that date. Engagements created before the notice date keep their existing terms for their full term.

Organic ranking on Splitbag is based on Stripe-verified revenue only, and no plan can change it. Featured placement is a clearly labeled slot and never reorders organic results.

8. Your content and our license

You keep ownership of what you submit, such as product descriptions, logos, screenshots, profiles and messages. You grant Splitbag a worldwide, non-exclusive, royalty-free license to host, display, reproduce and distribute that content as needed to operate and promote the Service, including on public pages, link previews and social images. The license ends when you delete the content, except for copies that must be kept for legal, tax, audit or dispute reasons and for content already shared by others.

You confirm you have the rights to what you submit and that it does not infringe anyone else's rights.

9. Intellectual property

The Service, its software, design and brand belong to Splitbag Technology or its licensors. We grant you a limited, revocable, non-exclusive right to use the Service under these Terms. You may not copy, reverse engineer, resell or interfere with the Service except as the law allows. Builders keep ownership of their products and brand assets. Nothing in an offer transfers ownership of a product to a contributor unless a written agreement says so.

10. Acceptable use

You must follow the Acceptable Use Policy. Serious or repeated violations may lead to suspension of the account, withholding or reversal of affected commissions, and removal of listings.

11. Taxes

You are responsible for your own taxes. For US contributors paid $600 or more in a calendar year, Splitbag files Form 1099-NEC through Stripe's 1099 service, and the tax identification number is collected in Stripe Express onboarding.

12. Third-party services

The Service depends on providers such as Stripe, Resend, Cloudflare, PostHog and Sentry. Their terms apply to your use of their services, and we are not responsible for their outages or acts.

13. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not verify the quality, legality or performance of any product, builder or contributor beyond the checks described in the Service.

14. Limitation of liability

To the fullest extent the law allows, Splitbag will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid Splitbag in the twelve months before the claim or the commissions that were due to you and unpaid because of our error. Some jurisdictions do not allow certain limits, in which case the limits apply to the extent permitted.

15. Indemnity

You will defend and indemnify Splitbag against third-party claims, losses and reasonable costs arising from your content, your breach of these Terms or the role agreements, or your violation of law or of another person's rights, except to the extent caused by us.

16. Suspension and termination

You may close your account at any time. We may suspend or terminate access for violations, legal requirements, fraud risk or non-payment. Ending an account does not cancel commissions already earned or amounts already owed. Final statements are issued within 7 days of an engagement ending, and statutory payment windows described in the Contributor Agreement continue to apply. Sections that by their nature should survive termination do survive.

17. Changes to these Terms

We may update these Terms. For material changes we will give notice by email or in the product before they take effect, and show the version and date at the top of this page. Continuing to use the Service after the effective date means you accept the update. Changes to fees apply only as described in section 6.

18. Governing law and disputes

Governing law, venue and dispute resolution terms are stated in the order form or, if none, are those chosen by Splitbag Technology and notified on this page before launch. This section is a placeholder to be completed and is flagged here so that it is not mistaken for final text. Before starting a formal claim, please contact us at [email protected] so we can try to resolve it informally.

19. General

These Terms, with the policies and role agreements they reference, are the entire agreement between you and Splitbag about the Service. If a provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them in connection with a reorganization or sale. Not enforcing a provision is not a waiver.
